1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the services provided by Opsly ("we," "us," or "our"), including our AI-powered phone answering service and related SMS messaging capabilities. By using our services, whether as a business client subscribing to our platform or as a caller interacting with our AI assistant, you agree to be bound by these Terms.

2. Description of Service

Opsly provides an AI-powered phone answering and customer communication service for small businesses. Our service includes:

• AI receptionist that answers inbound phone calls on behalf of business clients
• Automated responses to frequently asked questions about the business
• Appointment scheduling and calendar integration
• Call transcription, summarization, and reporting
• SMS text message notifications for appointment confirmations, follow-ups, and call summaries sent on behalf of the business client
• Email notifications to business clients with call details

3. Business Client Terms

Account and Subscription: Business clients must provide accurate business information during onboarding. Subscription plans are billed monthly and include a one-time setup fee. Pricing is detailed on our website and in your service agreement.

Client Responsibilities: Business clients are responsible for providing accurate and up-to-date business information, including services offered, pricing, business hours, and scheduling availability. Opsly is not liable for incorrect information provided by the business client that is communicated to callers.

Cancellation: Business clients may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period. Setup fees are non-refundable after the AI receptionist has been configured and deployed.

4. SMS Messaging Terms

As part of our service, Opsly sends SMS text messages on behalf of business clients to callers who provide verbal consent during phone interactions with our AI assistant.

Consent: SMS messages are sent only to individuals who have provided verbal consent during a phone call handled by our AI receptionist. Consent is obtained when a caller provides their phone number and the AI assistant confirms that a text message or follow-up communication will be sent to that number.

Message Types: Messages may include appointment confirmations, appointment reminders, call follow-up information, and business-related information you requested during the call.

Message Frequency: Message frequency varies. You will typically receive 1-3 messages per call interaction.

Opt-Out: You may opt out of receiving SMS messages at any time by replying STOP to any message received from our platform. You will receive a single confirmation message acknowledging your opt-out, and no further messages will be sent. You may also opt out by contacting us at sms@myopsly.ai.

Help: For assistance with SMS messages, reply HELP to any message or contact us at sms@myopsly.ai.

Costs: Message and data rates may apply based on your mobile carrier's plan. Opsly does not charge recipients for SMS messages.

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to disrupt, overload, or interfere with the operation of our AI systems
• Use the service to make harassing, threatening, or abusive calls
• Misrepresent your identity or business during interactions with our service
• Resell or redistribute our services without written authorization

6. Intellectual Property

All technology, software, AI models, branding, and content associated with Opsly's platform are owned by Opsly and protected by intellectual property laws. Business clients retain ownership of their business information and customer data processed through our service.

7. Limitation of Liability

Opsly provides its AI receptionist service on an "as is" and "as available" basis. While we strive for high accuracy and reliability, we do not guarantee that the AI assistant will be error-free in all interactions.

To the maximum extent permitted by law, Opsly shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our service, including but not limited to lost revenue due to AI errors, miscommunicated information, or service interruptions.

Our total liability for any claim arising from the service shall not exceed the amount paid by the business client to Opsly in the three months preceding the claim.

8. Indemnification

Business clients agree to indemnify and hold harmless Opsly from any claims, damages, or expenses arising from the business information provided to our platform, the business client's use of our service, or any violation of these Terms.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your information.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after modifications constitutes acceptance of the updated Terms. Business clients will be notified of material changes via email.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
